  • SGR/real estate FIA and corresponding outsourcers, Italian and foreign investors, social security entities.  Regular assistance in both structured investment transactions and management of real estate portfolios.
  • Preparation of contractual documentation and support during the negotiations. With reference both to traditional asset classes (residential, offices, commercial, tourist-hotel) and to the most innovative forms of real estate investment, such as student housing, co-housing, co-working, senior living, RSA, logistics, etc.
  • Legal due diligence. Carried out on both the seller and buyer sides.
  • Sale & purchase support. Sale & purchase support. Drafting of the contractual documentation concerning the acquisition/divestment of real estate properties/real estate portfolios (asset deal or share deal), or real estate shareholdings and the pertaining negotiations (both from seller and buyer perspective), by way of example: NDAs, letters of intent, market solicitation letters and invitation to express expressions of interest, MOU, framework agreements, term sheets, NBO, BO, procedure letters, options, rent to buypreliminary and definitive agreements concerning the sale and purchase of real estate properties/quotas/shares/business, contribution deeds, indemnity agreements, escrow account agreements and other forms of guarantees. Drafting of standard contractual documentation concerning TAIC.
  • Structured loan agreements and related security package. Connected to acquisition and real estate development transactions, as well as the relevant refinancing.
  • Agreements concerning the enhancement and management of areas of areas or buildings. Assistance during the development phase until the sale of the carried out works: by way of example, lease agreements, construction agreements/general contractors for the carrying out of extraordinary maintenance works/redevelopment of real estate properties, business/business units lease/assignment agreements, leasing agreements, bailment agreements, hotel management agreements).
  • Outsourcing agreements.  Drafting, negotiation and modification of Advisory, property management, facility management ed agency.
  • Real estate properties' regulation. Condominium, building, consortium and common ownership (comunione) regulations.
  • Problem solving. Drafting of opinions/sensitive correspondence/ claims activation in order to achieve resolutions also through the preparation of settlement agreements between tenants and SGRs/funds and/or between SGRs and unitholders of the managed funds and/or SGRs/funds and their suppliers/outsourcers or third parties and/or between SGRs and public administrations.
  • General advice. Memoranda and legal opinions, in the matter of real rights, also for the related regulatory and corporate profiles.
  • Proptech. Assistance to companies and operators belonging to the alternative real estate finance, real estate crowdfunding, lending crowdfunding, due diligence and advice on market technologies and real estate transactions.
  • Real estate litigation.  Regarding rights in rem, lease agreements, services, sale and purchase agreements and constructions, both in court and arbitration proceedings.
